These terms govern your use of Vantikus, provided by Vantikus Technology Limited (白藝科技有限公司), a Hong Kong company (Companies Registry No. 81218327, "Vantikus", "we", "us"). By creating an account or otherwise using Vantikus, you agree to these terms.
Vantikus is a platform for managing brand-agency relationships: onboarding, commercial terms, task and performance tracking, invoicing, and reporting. Accounts are held either as a brand (an organisation managing a roster of agencies) or an agency (a partner delivering work under one or more brand relationships). Each account type has different capabilities within the platform, as described in the product itself.
You're responsible for the accuracy of the information your account submits to Vantikus, and for keeping your login credentials confidential. You're responsible for activity that happens under your account, including actions taken by other users your organisation has invited.
Paid plans are billed monthly in advance and renew automatically until you cancel — we charge your payment method on file for each new billing period unless you've cancelled before it starts. Current plans and pricing are listed at vantikus.com/pricing.html; we may change pricing going forward, but changes won't apply to a billing period you've already been charged for. See our Refund Policy for how cancellations and billing corrections work.
You agree not to use Vantikus to: violate any law; infringe another party's rights; attempt to gain unauthorised access to the platform or another account; or interfere with the service's normal operation (e.g. by overwhelming it with automated traffic outside the documented API limits).
Vantikus retains all rights to the platform itself — its software, design, and underlying technology. You and your organisation retain all rights to the business data you enter into Vantikus (tasks, commercial terms, performance records, and similar). We process that data to provide the service to you; we don't claim ownership of it.
Vantikus is provided "as is," without warranties of any kind, express or implied. To the maximum extent permitted by law, Vantikus is not liable for indirect, incidental, or consequential damages arising from your use of the service, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.
You may stop using Vantikus and cancel your subscription at any time. We may suspend or terminate an account that breaches these terms, or that we reasonably believe poses a security or legal risk to the service or other users. Your business data is handled as described in our Privacy Policy's Data retention section after an account closes — email us first if you'd like an export of it.
These terms are governed by the laws of Hong Kong, and any dispute arising from them is subject to the exclusive jurisdiction of the courts of Hong Kong.
If a court finds part of these terms unenforceable, the rest remains in effect. We're not liable for a failure to perform caused by something reasonably outside our control (e.g. a cloud provider outage, a natural disaster). You may not assign these terms or your account without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
If we make a material change to these terms, we'll update the date at the top of this page and, where appropriate, notify account holders by email.
